Explanation of Responses:

1. Reflects common stock of the Issuer received with respect to shares of common stock of La Quinta Holdings Inc. ("La Quinta") held by the Reporting Person prior to the spin-off of the Issuer from La Quinta.

2. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock payable in common stock, cash or a combination thereof at the discretion of the Issuer's Compensation Committee.

3. Represents equity awards granted by the Issuer with respect to equity awards of La Quinta held by the Reporting Person prior to the spin-off of the Issuer from La Quinta.

4. These RSUs vest on June 11, 2018.

5. These RSUs vest in two equal annual installments beginning on June 11, 2018.

6. These RSUs vest in three equal annual installments beginning on June 11, 2018.

7. These RSUs vest on July 24, 2018.
