SECTION 5 – CORPORATE GOVERNANCE AND MANAGEMENT
Item 5.03 | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year |
On August 20, 2021, the Board of Directors of FingerMotion, Inc. (the “Company”) approved an amendment to the Bylaws (the “Bylaws”) of the Company in order to reduce the quorum requirement for meetings of stockholders from the holders of a majority of the voting power of the issued and outstanding stock of the Company entitled to vote thereat to the holders of 33⅓% of the voting power of the issued and outstanding stock of the Company entitled to vote thereat.
Therefore, the Board of Directors amended the Bylaws by deleting in its entirety Section 6 of ARTICLE II Meeting of Stockholders of the Bylaws and replacing it with the following:
“Section 6. Quorum, Adjournments. The holders of 33⅓% of the voting power of the issued and outstanding stock of the Corporation entitled to vote thereat, present in person or represented by proxy, shall constitute a quorum for the transaction of business at all meetings of stockholders, except as otherwise provided by statute or by the Certificate of Incorporation. If, however, such quorum shall not be present or represented by proxy at any meeting of stockholders, the stockholders entitled to vote thereat, present in person or represented by proxy, shall have the power to adjourn the meeting from time to time, without notice other than announcement at the meeting, until a quorum shall be present or represented by proxy. At such adjourned meeting at which a quorum shall be present or represented by proxy, any business may be transacted which might have been transacted at the meeting as originally called. If the adjournment is for more than thirty days, or, if after adjournment a new record date is set, a notice of the adjourned meeting shall be given to each stockholder of record entitled to vote at the meeting.”
