Represents the sale of shares to cover the tax liability associated with the vesting of Performance Share Units originally granted to Mr. Conway on June 12, 2017, which fully vested and were issued on March 7, 2019 based upon the achievement of certain performance criteria related to the registrant's adjusted EBITDA for the fiscal year ended 2018, as disclosed in a Form 4 filed on March 8, 2019.
