| 1. On May 24, 2016, pursuant to Multi-Color's 2012 Stock Incentive Plan, the Reporting Person received a grant of restricted share units ("RSUs") contingent upon certain performance conditions. On May 31, 2019, the Compensation Committee of Multi-Color's Board of Directors determined that certain of the performance conditions were satisfied, and as a result, 3,383 RSUs were vested and converted into 3,383 shares of Common Stock. |
