Item 7.01 Regulation FD Disclosure
On December 5, 2022, NextEra Energy US Partners Holdings, LLC, an indirect subsidiary of NextEra Energy Partners, LP (NEP), notified the lenders under an existing revolving credit facility that it would be borrowing an additional $775 million under the revolving credit facility on or by December 9, 2022. The revolver draw is being made to ensure sufficient cash is on hand for the closing of NEP's previously announced acquisition of a 1,080-megawatt net interest in a renewable portfolio pending receipt of funding under the related membership interest purchase agreement (MIPA), which acquisition and MIPA were discussed in the Current Report on Form 8-K dated November 17, 2022.

On December 7, 2022, NEP issued a press release announcing the offering of $500 million in aggregate principal amount of its 2.50% convertible senior notes due 2026 in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99 and incorporated herein by reference.
