EXPLANATORY NOTE
On October 28, 2020, Susan Kelley informed the Board of Directors (the “Board”) of Vascular Biogenics, Ltd. (the “Company”) that she will resign as an independent director of the Company, as well as from all Committees of the Board on which she served, effective as of October 30, 2020. Dr. Kelley’s resignation was not a result of any disagreement with the Company, the Board or any matter relating to the Company’s operations, policies or practices.
