1. Represents the vesting and settlement of a portion of restricted stock units ("RSUs") previously granted to the Reporting Person. Each RSU represents a contingent right to receive one Ordinary Share, par value NIS 0.01, with an exercise price of NIS 0.01 per Ordinary Share.

2. 75% of the RSUs vested on March 31, 2023, with the remaining 25% vesting on August 9, 2024. The RSUs have no expiration date and have an exercise price of NIS 0.01 per Ordinary Share.
