Explanation of Responses:

1. The Restricted Stock Units ("RSUs") were granted under the 2014 Equity Incentive Plan approved by shareholders on June 20, 2014.

2. The RSUs vest in twelve (12) equal quarterly installments. All RSUs, even those that vest, are restricted until April 1, 2018.

3. An RSU is an unsecured promise to transfer a share at a specified future date. The transferred shares do not have an expiration date.

4. The Stock Appreciation Rights ("SARs") were granted under the 2014 Equity Incentive Plan approved by the shareholders on June 20, 2014.

5. The SARs vest in twelve (12) equal quarterly installments. All SARs, even those that vest, are restricted from being exercised until April 1, 2018.
