Explanation of Responses:

1. In connection with the vesting of 3,906 RSUs on July 16, 2019, a total of 1,111 shares were sold in order to satisfy the reporting person's tax withholding obligations. The reporting person had no discretion with respect to such withholding, which was conducted automatically in accordance with the issuer's corporate policies.
