Explanation of Responses:

1. Class A Common Stock of Moelis & Company sold pursuant to a 10b5-1 plan.

2. Represents a transaction by the Moelis Family Trust. Mr. Moelis is a beneficiary of The Moelis Family Trust. Mr. Moelis shares voting and dispositive power over the assets of The Moelis Family Trust with Mrs. Julie Moelis.

3. The Moelis Family Trust's ownership of 178,745 shares of Class A common stock is in addition to (i) 805,473 units of unvested equity granted to Mr. Moelis as incentive compensation for fiscal years 2017 through 2021, (ii) 49,827 shares of Class A common stock held by Mr. Moelis and (iii) 4,076,314 shares of Class A common stock issuable in exchange for Group Units held by The Moelis Family Trust.
