Item 1.01. Entry into a Material Definitive Agreement.
On September 12, 2019, Natera, Inc. (“Natera” or the “Company”) entered into a third amendment (“Amendment”) to its credit agreement dated August 8, 2017, as previously amended on December 31, 2018 and April 15, 2019 (collectively, the “Credit Agreement”) with OrbiMed Royalty Opportunities II, L.P. (“OrbiMed”). The Credit Agreement includes certain affirmative and negative covenants with respect to the Company’s management of its accounts and the disposition of its assets. The Amendment excludes the Company’s sale of certain assets and the accounts associated with the sale of these assets from the affirmative and negative covenants in the Credit Agreement.
The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amendment, which Natera intends to file with the Securities and Exchange Commission as an exhibit to its next Quarterly Report on Form 10-Q.
