Item 1.01 Entry into a Material Definitive Agreement
On December 27, 2019, CACI, Inc. – Federal, a wholly-owned subsidiary of CACI International Inc (the “Company”), and certain of its subsidiaries (the “Sellers”) entered into Amendment No. 1 (the “Amendment”) to the Master Accounts Receivable Purchase Agreement (the “Purchase Agreement”), among the Sellers, the Company, MUFG Bank, Ltd., as administrative agent (the “Agent”), and certain purchasers party thereto.
The Amendment amends the Purchase Agreement to, among other things (i) extend the Scheduled Termination Date from December 27, 2019 to December 24, 2020; (ii) include additional subsidiaries as Sellers; and (iii) modify certain provisions of the Purchase Agreement to provide the Company and the Agent with additional flexibility.
Capitalized terms not otherwise defined herein have the meanings set forth in the Purchase Agreement and the Amendment.
