Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On August 19, 2016, Limbach Holdings, Inc. (the “Company”) filed a Certificate of Correction (the “Certificate of Correction”) to its Certificate of Designation of Class A Preferred Stock with the Secretary of State of the State of Delaware. The Certificate of Correction became effective upon its filing and was filed to correct an inadvertent error in the description of the dividend rates of the Company’s Class A preferred stock contained in the Certificate of Designation of Class A Preferred Stock originally filed by the Company on July 20, 2016.
The Company has filed herewith as Exhibit 3.1 the Certificate of Correction, which Exhibit is incorporated by reference herein, and the foregoing description of the Certificate of Correction is qualified in its entirety by reference thereto.
