1. This award of restricted stock units ("RSUs") was granted on 06/01/2018. The award is subject to service based vesting conditions and vests in equal annual installments on each of January 1, 2019, January 21, 2020 and January 1, 2021, subject to continued service through the applicable vesting date.

2. Each RSU represents a contingent right to receive one share of Limbach Holdings, Inc. common stock, exempt under Rule 16b-3.
