Explanation of Responses:

1. Represents 13,613 shares of Limbach Holdings, Inc. common stock issued to the reporting person on March 8, 2023 upon vesting of 10,000 performance-based restricted stock units, based on the achievement of certain pre-established performance goals at above-target levels for the performance period commencing on January 1, 2020 through December 31, 2022. Such transaction was exempt from Section 16(b) pursuant to Rule 16b-3.

2. Represents 10,209 shares of Limbach Holdings, Inc. common stock issued to the reporting person on March 8, 2023 upon vesting of 7,500 performance-based restricted stock units, based on the achievement of certain pre-established performance goals at above-target levels for the performance period commencing on January 1, 2020 through December 31, 2022. Such transaction was exempt from Section 16(b) pursuant to Rule 16b-3.

3. Reflects the withholding of 5,801 shares by Limbach Holdings, Inc. (the "Company") to satisfy tax withholding requirements. Such transaction was exempt from Section 16(b) pursuant to Rule 16b-3.
