Explanation of Responses:

1. The AXP Nevada Asset Protection Trust 3 (the "AXP Trust") makes this report because it is a trust controlled by Alton Perkins - the Chairman of the Board, Chief Executive Officer, Chief Financial Officer, President and Treasurer of the Issuer, and is furthermore a control person through his individual and beneficial ownership of stock in the Issuer.

2. As a result of the issuance of shares following effectiveness of the Issuer's registration statement on Form S-1/A, the AXP Trust was issued 120,000 shares of registered common stock. The issuance of these shares were a result of a Stock Exchange Agreement disclosed in prior filings. For purposes of clarification, the registration statement refers to the AXP Trust as "4." This was a typographical error and the correct number designation should have been "3."

Remarks:

The AXP Trust is not a beneficial owner, but makes this report because it is controlled by Mr. Perkins.
