Explanation of Responses:

1. Quarterly award of Stock Options for services as a director.

2. The reporting person does not receive cash compensation from the Issuer for his services as a director and instead contractually earns options which can converted in up to 1,500 shares of Series D Convertible Preferred Stock at an exercise price of $0.10 per share. Such options are issuable quarterly, on the first of each March, June, September, and December and are fully vested upon issuance.
