Explanation of Responses:

1. Represents securities underlying 3,000,000 units of the Issuer. Each unit ("Unit") consists of one share of common stock and one right ("Right").

2. Mr. Zhao is a director of Great Finance Holdings Limited, and as such, controls the voting and disposition of such securities.

3. Each Right entitles the holder to receive one-tenth (1/10) of one share of the Issuer's common stock upon consummation of the Issuer's initial business combination for no additional consideration.

4. If the Issuer fails to consummate an initial business combination by June 1, 2016 (or September 1, 2016 if certain criteria are met), the Issuer will be dissolved and the Rights will expire worthless.
