Explanation of Responses:

1. Represents an award of restricted stock to the reporting person in lieu of the quarterly director fees payable in respect of the quarters ending September 30, 2015, December 31, 2015, March 31, 2016 and June 30, 2016, pursuant to an election by the reporting person under a director compensation plan adopted by the Issuer. Such shares shall be fully vested upon the earlier of June 30, 2016 or the commencement of the Issuers next annual meeting of stockholders.
