2. Disposition of shares, as set forth above, was in connection with the Issuer's withholding of common shares to satisfy tax withholding obligations related to the issuance of common share upon release of restricted stock units.

3. Restricted stock units convert into common stock on a one-for-one basis.

4. Award of time-based restricted stock with the following vesting: 982 shares vested on the first anniversary date of the grant date, July 1, 2021; 981 shares will vest on the second anniversary date of the grant date, July 1, 2022; 981 shares will vest on the third anniversary date of the grant date, July 1, 2023.
