Item 5.02 — Departure of Directors; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 20, 2021, Noah K. Carter informed Watermark Lodging Trust, Inc. (the "Company") that he intends to resign from his position as Chief Accounting Officer effective July 2, 2021 to pursue another opportunity. Mallika Sinha, the Chief Financial Officer of the Company, will serve as Principal Accounting Officer upon the resignation effective date.
