Explanation of Responses:

1. The reported transaction reflects the grant of Restricted Stock under the Issuer's 2014 Omnibus Award Plan. The Restricted Stock vests in two equal installments on June 14, 2017 and 2018.

2. This amendment to Form 4 is being filed to correct the acquisition price. The Reporting Person did not pay any consideration for the grant.
