Explanation of Responses:

1. The aggregate value of the Shares of beneficial interest, par value $.001 per share (the "Institutional Shares") acquired in this transaction is $1,000,000. Due to the timing of the Issuer's determination of its net asset value, the number of Institutional Shares and price per Institutional Share that correspond to this transaction cannot be determined at the time of this filing.

2. The amount of Institutional Shares owned following the reported transaction equals the amount as described in Footnote 1 plus the 1,000 Institutional Shares reported in the Form 3 filed by the Reporting Person on January 30, 2015.

3. The Reporting Person is, as of the date of this report, a managing member of Cross Shore Capital Management, LLC, the investment adviser of the Issuer, in whose account the reported securities are held. The Reporting Person disclaims beneficial ownership of the securities to the extent of his pecuniary interest therein.

4. The aggregate value of the Institutional Shares acquired in this transaction is $3,500,000. Due to the timing of the Issuer's determination of its net asset value, the number of Institutional Shares and price per Institutional Share that correspond to this transaction cannot be determined at the time of this filing.
