Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents the right to receive one share of common stock upon vesting. The RSUs vest as to one-third of the shares on February 26, 2021, an additional one-third of the shares on February 26, 2022 and the remaining one-third of the shares on February 26, 2023.

2. Represents 106,113 shares of Common Stock, 170,170 shares of Restricted Stock Units and 78,125 restricted shares of Common Stock.

3. The options vest as to one-third of the shares on February 26, 2021, an additional one-third of the shares on February 26, 2022 and the remaining one-third of the shares on February 26, 2023.
