Item 8.01 Other Events.
Adoption of Inducement Plan
On December 4, 2020, the Board of Directors (the “Board”) of Cidara Therapeutics, Inc. (the “Company”) adopted the Cidara Therapeutics, Inc. 2020 Inducement Incentive Plan (the “Inducement Plan”), pursuant to which the Company has reserved 750,000 shares of its common stock for issuance under the Inducement Plan to individuals who were not previously employees or directors of the Company, or who are returning to employment following a bona fide period of non-employment with the Company, as an inducement material to such persons entering into employment with the Company, in accordance with Nasdaq Listing Rule 5635(c)(4). An “Award” includes any cash award and any right to receive the Company’s common stock pursuant to the Inducement Plan, including nonstatutory stock options, restricted stock awards, restricted stock unit awards, stock appreciation rights, performance stock awards or other stock-based awards. The Board also adopted a form of stock option grant notice, stock option agreement, notice of exercise, restricted stock unit grant notice and restricted stock unit award agreement (the “Related Agreements”) for use with the Inducement Plan.
