Explanation of Responses:

1. Reflects the effect of a gift of 205,000 shares during November 2021 to be reported by the reporting person on a Form 5.

2. Represents dividend equivalent rights that accrued on three Restricted Stock Unit awards ("RSUs") held by the reporting person in conjunction with the payment of a cash dividend on the Issuer's common stock, which dividend equivalent rights will vest and be settled proportionately with the RSUs to which they relate. Each dividend equivalent right is the economic equivalent of one share of the Issuer's common stock.
