2. Grant to the Reporting Person of Restricted Stock Units under the Issuer's 2018 Omnibus Incentive Plan. The shares will vest on October 2, 2021.

3. Grant to the Reporting Person of a stock option under the Issuer's 2018 Omnibus Incentive Plan. The shares vest in a series of four (4) successive equal annual installments beginning on April 1, 2022.
