Explanation of Responses:

1. These shares were acquired under the MaxPoint Interactive, Inc. 2015 Employee Stock Purchase Plan in transactions that were exempt under both Rule 16b-3(c) and Rule 16b-3(d).

2. The option shares shall vest and become exercisable as follows: (a) with respect to the first 25% of the option shares when the optionee completes 12 months of continuous service beginning August 16, 2015 and (b) with respect to an additional 1/48th of the option shares when the optionee completes each month of continuous service thereafter, subject to the terms of the 2015 Equity Incentive Plan.
