2. These stock options were granted on August 28, 2013, and are scheduled to vest and become exercisable in four equal annual installments on the first four anniversaries of the grant date, subject to continued employment with the Company.

3. These stock options were granted on October 31, 2014, and are scheduled to vest and become exercisable in four equal annual installments on the first four anniversaries of the grant date, subject to continued employment with the Company.

4. The price reported in Table I, Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $38.12-$38.57, inclusive. The reporting person undertakes to provide ServiceMaster, any security holder of ServiceMaster, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this Form 4.
