Item 7.01. Regulation FD Disclosure
On August 6, 2020, Gregory B. Maffei, President and Chief Executive Officer of Liberty Broadband Corporation (“Liberty Broadband”), hosted a conference call to discuss the proposed combination of Liberty Broadband and GCI Liberty, Inc. During the conference call, Mr. Maffei discussed an example regarding the repurchase program of Charter Communications, Inc. (“Charter”) and the amount that could be paid to Liberty Broadband under that program. Liberty Broadband is filing this Current Report on Form 8-K to clarify that the example was provided for illustrative purposes only and that, for example, if Charter repurchased $11 billion, approximately $2.75 billion would be payable to Liberty Broadband.
This Current Report on Form 8-K is being furnished to the Securities and Exchange Commission under Item 7.01 of Form 8-K in satisfaction of the public disclosure requirements of Regulation FD and shall not be deemed "filed" for any purpose.
