Explanation of Responses:

1. The reported transaction involved the Reporting Person's receipt of a grant of restricted stock units. The restricted stock units vest with respect to 100% of the shares underlying the restricted stock units on the earlier of (i) June 21, 2023 and (ii) the next annual meeting of the Issuer's stockholders. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

2. This option vests with respect to 100% of the shares underlying the option on the earlier of (i) June 21, 2023 and (ii) the next annual meeting of the Issuer's stockholders.
