Item 5.07Submission of Matters to a Vote of Security Holders.
On May 8, 2019, Cadence Bancorporation, a Delaware corporation (the “Company”) held its 2019 Annual Meeting of Stockholders (the “Annual Meeting”), and, on May 13, 2019, the Company filed a Form 8-K disclosing the results of the stockholder vote for each proposal on which stockholders voted at the Annual Meeting (the “Initial Form 8-K”). This Current Report on Form 8-K/A amends the Initial Form 8-K to disclose that, in connection with the vote on the frequency of future stockholder advisory votes on executive compensation, the Company’s board of directors determined to include an advisory shareholder vote on executive compensation in the Company’s proxy materials every year. The disclosure included in the Initial Form 8-K otherwise remains unchanged.
