Explanation of Responses:

1. Each restricted stock unit represents the right to receive one share of ORA common stock upon vesting.

2. The stock appreciation rights vest 50% on the second anniversary of the grant date and 25% on each of the third and fourth anniversaries of the date of grant.

3. The restricted stock units vest 33% on the second anniversary of the grant date and 67% on the third anniversary of the date of grant.

4. The Performance stock units vest 50% on the second anniversary of the grant date and 25% on each of the third and fourth anniversaries of the date of grant.
