Explanation of Responses:

1. Represents conversion of restricted stock units into shares of common stock on a one-for-one basis.

2. Represents shares withheld to satisfy tax withholding requirements for settlement of restricted stock units.

3. These restricted stock units were approved by the Issuer's compensation committee subject to stockholder approval which was obtained on May 14, 2019. One-third of the units vested on each of December 31, 2019, December 31, 2020 and December 31, 2021.

4. These performance restricted stock units were approved by the Issuer's compensation committee subject to stockholder approval which was obtained on May 14, 2019. The award was conditioned on attainment of pre-established performance criteria for 2019 and a time-based vesting schedule (vesting in one installment on December 31, 2021). On March 26, 2020, the Issuer's compensation committee determined that the performance condition was attained with respect to 7,668 units, representing approximately 87% of the reporting person's target award.

5. These restricted stock units were granted on November 11, 2019. The units vested in one installment on December 31, 2021.

6. These restricted stock units were granted on August 31, 2020. One-fourth of the units vested on each of June 30, 2021 and December 31, 2021 and the balance is scheduled to vest on December 31, 2022.

7. These restricted stock units were granted on June 9, 2021. One-third of the units vested on December 31, 2021 and the balance is scheduled to vest in two equal installments on December 31, 2022 and December 31, 2023.
