Explanation of Responses:

1. This Form 4 reflects the sale of shares pursuant to a Board-approved Rule 10b5-1 trading plan.

2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions ranging from $16.15 to $16.25, inclusive. The reporting person undertakes to provide the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.

3. Shares of restricted stock vest in 5 equal annual installments with the first 20% vesting on February 20, 2015, the first anniversary of the date of the award.

4. Shares of restricted stock vest in 3 installments with the first 33 1/3% vesting on June 9, 2017, the first anniversary of the date of the award, and the second and third installments vesting on January 9, 2018 and January 9, 2019, respectively.

5. Shares of restricted stock will fully vest on January 25, 2019.

6. Stock options are fully vested and exercisable.

7. Stock options vest in 5 equal annual installments with the first 20% vesting on February 20, 2015, the first anniversary of the date of the grant.
