Explanation of Responses:

1. On December 16, 2016, an order confirming the plan of reorganization (the "Plan") of C&J Energy Services Ltd. (the "Company") and certain of its subsidiaries was entered by the United States Bankruptcy Court for the Southern District of Texas, Houston Division. On January 6, 2017, the Plan became effective pursuant to its terms and all of the Company's equity was cancelled.

2. These shares of restricted common stock were cancelled automatically and without the receipt of any consideration pursuant to the Plan.

3. These options were cancelled automatically and without the receipt of any consideration in conjunction with the cancellation of the underlying common stock pursuant to the Plan.
