Explanation of Responses:

1. These shares were granted pursuant to the Company's 2014 Equity Incentive Plan and represent payment for the Board of Director's annual retainer. They vest January 3, 2017.

2. As a result of a review of the Board's compensation the total number of shares granted to each Board member in 2016 was reduced from 15,556 to 12,778.
