On September 29, 2020, the Board of Directors (the “Board”) of SMART Global Holdings, Inc., a Cayman Islands exempted company (the “Company”), appointed the Company’s President and Chief Executive Officer, Mark Adams, to the Board, effective September 30, 2020. Mr. Adams will not receive any separate compensation for his service on the Board.
In connection with the appointment of Mr. Adams to the Board, Paul Mercadante resigned as a member of the Board on September 29, 2020. Mr. Mercadante’s resignation from the Board was not a result of any disagreement with the Company.
