Kearny Financial Corp.’s Annual Meeting of Stockholders will be held on Thursday, October 24, 2019 at the DoubleTree by Hilton - Fairfield Hotel & Suites, 690 Route 46 East, Fairfield, New Jersey, at 10:00 a.m. Eastern Time.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends a vote “FOR” Proposals 1, 2 and 3.

1. The election of the four nominees listed, each for a three-year term.

2. Ratification of the appointment of Crowe LLP as the Company’s independent auditor for the fiscal year ending June 30, 2020.

3. Approval of an advisory, non-binding resolution to approve our executive compensation as described in the Proxy Statement.
