Explanation of Responses:

1. The stock option granted consists of: (a) a prorated amount of 1,205 shares of Class C capital stock granted in consideration of the reporting individuals initial election and services as a Director of the Company from 01/06/24 through 03/01/24 and (b) 16,956 shares of Class C capital stock granted in accordance with the reporting individuals annual grant under the Companys Equity Award Grant Program for Non-Employee Directors.

2. 1/4th of the shares subject to the option will vest and become exercisable after each-three-month period following the grant date such that the option will be fully vested and exercisable on the one-year anniversary of the grant date.
