1. Represents restricted share units that are earned and vested upon grant and that settle following termination of board service.

2. The Reporting Person transferred 9,458 Common Shares of the Issuer to CLBB Investment Holdings Fund Ltd., ("CLBB Investments") of which the Reporting Person is a director and the Reporting Person and his spouse are the direct or indirect equity owners, in an exempt transaction pursuant to Rule 16a-13 under the Securities and Exchange Act of 1934, as amended. The Reporting Person holds all voting and dispositive power over the securities held by CLBB Investments.

3. These securities are held by CLBB Investments, of which the Reporting Person is a director and the Report Person and his spouse are the direct and indirect equity owners. The Reporting Person holds all voting and dispositive power over the securities held by CLBB Investments.
