Explanation of Responses:

1. Includes 17,808 restricted stock units ("RSUs") granted on June 27, 2019 pursuant to the Issuer's 2014 Equity Incentive Plan which can only be settled with shares of common stock. 100% of the RSUs vested on June 10, 2020.

2. Represents RSUs granted pursuant to the Plan which can only be settled with shares of common stock. The award will vest as to 100% of the underlying shares on the earlier of the first anniversary of the date of grant or the date of the issuer's next annual stockholder meeting first occurring after the date of grant, subject to the Reporting Person's continued service to the issuer through such date.
