Proposal No. 3: The proposal to approve, on an advisory basis, the compensation of the Company’s named executive officers was approved. There were 651,776,192 votes for, 43,098,067 votes against, and 29,418,009 abstentions. There were 124,141,778 brokernon-votes on this proposal.
Proposal No. 4: The proposal regarding approval of the amendment and restatement of the Walgreens Boots Alliance, Inc. Employee Stock Purchase Plan was approved. There were 717,710,392 votes for, 4,578,576 votes against, and 2,003,300 abstentions. There were 124,141,778 brokernon-votes on this proposal.
Proposal No. 5: The stockholder proposal requesting an independent Board Chairman was not approved. There were 274,382,050 votes for, 447,047,827 votes against, and 2,862,391 abstentions. There were 124,141,778 brokernon-votes on this proposal.
Proposal No. 6: The stockholder proposal regarding the use of GAAP financial metrics for purposes of determining senior executive compensation was not approved.
