1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $4.49 to $4.59, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote (1) to this Form 4.

2. Non-employee director equity compensation pursuant to the terms and conditions of the Director Compensation Policy and 2018 Stock Incentive Plan. This award will vest in three equal installments immediately prior to each of the 2018, 2019 and 2020 annual meetings of the stockholders of Exela Technologies, Inc.

3. Each restricted stock unit represents the right to receive, following vesting, one share of Common Stock.

4. Non-employee director equity compensation pursuant to the terms and conditions of the Director Compensation Policy and 2018 Stock Incentive Plan. This award will vest in full immediately prior to the 2018 annual meetings of the stockholders of Exela Technologies, Inc.
