On November 14, 2018, NexPoint Residential Trust, Inc. (the “Company”), its operating partnership, NexPoint Residential Trust Operating Partnership, L.P. (the “Operating Partnership”), and its adviser, NexPoint Real Estate Advisors, L.P. (the “Adviser”) entered into an underwriting agreement (the “Underwriting Agreement”) with Raymond James & Associates, Inc. and Jefferies LLC, as representatives of the several underwriters named in Schedule I thereto (collectively, the “Underwriters”), pursuant to which the Company agreed to sell 2,350,000 shares of the Company’s common stock, par value $0.01 per share (the “Firm Shares”), at a public offering price of $33.00 per share. The Company also granted the Underwriters a30-day option to purchase up to an additional 352,500 shares of common stock (the “Option Shares” and together with the Firm Shares, the “Shares”). The Underwriters exercised their option to purchase the Option Shares on November 14, 2018. The Underwriting Agreement contains customary representations, warranties and covenants, conditions to closing, indemnification obligations, and termination and other customary provisions.
The common stock was offered and sold pursuant to a prospectus supplement, dated November 14, 2018, and a base prospectus, dated April 24, 2017, relating to the Company’s shelf registration statement on FormS-3 (FileNo. 333-216697). A copy of the Underwriting Agreement is filed herewith as Exhibit 1.1 to this Current Report on Form8-K and is incorporated herein by reference. The summary of the Underwriting Agreement set forth above is qualified in its entirety by reference to Exhibit 1.1.
