Explanation of Responses:

1. Such shares were granted without restriction pursuant to the performance share component of the 2018-2020 Long Term Incentive Compensation plan.

2. The balance includes shares obtained through Piedmont's dividend reinvestment plan during the period in which the shares where obtained.

3. In connection with the grant of the unrestricted stock award (19,618 shares) on February 2, 2021, 8,670 shares were forfeited by the employee and delivered to the Company to satisfy tax withholding obligations.
