Explanation of Responses:

1. 785 of the 1,667 restricted shares of ASPS common stock received upon the vesting of 1,667 shares pursuant to the terms of the July 27, 2017 Restricted Stock Award Agreement between Mr. Ritts and the Company were foregone to pay for tax withholdings. Pursuant to the terms of the Restricted Stock Award Agreement, the price per share used to determine the tax withholdings was the opening price of ASPS common stock on July 27, 2020.

2. Includes 7,500 time-based restricted shares of ASPS common stock, which are scheduled to vest (and will be issued) in two equal installments on the third and fourth anniversaries of the November 13, 2017 grant date (i.e., November 13, 2020 and November 13, 2021). Mr. Ritts has no voting rights with respect to these shares until they vest.
