Thie Number of meetings held in 2017: Four | | | • Appoints, determines the compensation of, retains and oversees the work of the independent registered public accounting firm; • Pre-approves all auditing services and permitted non-audit services, including the fees and terms thereof, to be performed by the independent registered public accounting firm; • Reviews and discusses with management and the independent registered public accounting firm the annual audited and quarterly unaudited financial statements and our disclosure under “Management’s Discussion and Analysis of Financial Condition and Results of Operations” in our periodic reports on Form 10-Q and Form 10-K; • Discusses with management all earnings press releases and financial information and earnings guidance provided to securities analysts and rating agencies; • Reviews and discusses with management and the independent registered public accounting firm the adequacy and effectiveness of our systems of internal accounting and financial controls; • Establishes, reviews and reassesses periodically procedures for the receipt, retention and treatment of complaints regarding accounting, internal accounting controls or auditing matters and the confidential, anonymous submission by employees of concerns regarding questionable accounting or auditing matters; • Reviews with management and the independent registered public accounting firm our compliance with the requirements for qualification as a real estate investment trust (“REIT”); • Issues a report annually as required by the SEC’s proxy solicitation rules; • Reviews, with input from our Manager, risk assessment and risk management issues; • Meets separately, and periodically, with management, the Company’s internal auditors (or other personnel responsible for the internal audit function) and the Company’s independent registered accounting firm. | |
