Explanation of Responses:

1. This common stock is restricted and was granted pursuant to the Executive Employment and Severance Agreement by and between the Company and Mr. McKinney, dated as of September 30, 2020. These restricted stock units vest over a period of three (3) years, such vesting period to begin on October 1, 2020, and shall be subject to the terms and conditions of the award agreements pursuant to which they are granted.
