Explanation of Responses:

1. On May 24, 2018, the Company granted 23,613 market-based restricted stock units ("RSUs") to the reporting person, pursuant to which vesting was contingent upon the price of the Company's Common Stock meeting a prescribed performance goal (the "Performance Goal"). On December 31, 2019, the Performance Goal was attained, and the first installment of 7,871 shares vested. The remaining portion of the market-based RSUs vest in equal annual installments on each of the second and third anniversaries of the grant date, subject to acceleration or forfeiture, and upon vesting, settle for shares of Common Stock.
